Terms of Service

The Platform is operated by rawmaterial.live (“we”, “us”, “our”), an independent business-to-business platform for raw-materials and industrial-chemicals trading, based in Karachi, Pakistan.

The Platform is for use by businesses and by individuals aged 18 or over acting on a business's behalf. Accounts are subject to our review and approval, and we may decline or revoke access at our discretion. You agree to give accurate, current, and complete information about you and your company, and to keep it up to date.

You are responsible for keeping your login credentials secure and for all activity that happens under your account. Do not share your account or let others use it. Tell us promptly if you believe your account has been accessed without your permission.

The Platform helps businesses connect and manage trade in raw-materials and chemicals — including inquiries, quotes, orders, documents, and market information. We provide the tools and, where agreed, facilitate transactions between buyers and suppliers. Unless we expressly agree otherwise in writing, we are not a buyer, seller, or party to the trade contract between you and your counterparty, and we are not a bank, broker, freight forwarder, or inspection agent.

Prices, quotes, availability, and other commercial information shown on the Platform are indicative and may change. Nothing on the Platform is a binding offer until it is confirmed in writing through the Platform. Each transaction is governed by the specific terms agreed for it — including product, quantity, price, payment terms, and delivery — which prevail over any general information shown on the Platform. We do not guarantee that any product, price, or counterparty will be available.

Payment terms are agreed between the parties for each transaction. Banks, letters of credit, logistics providers, inspection agencies, and other third parties involved in a trade act independently of us, and we are not responsible for their acts, omissions, fees, or decisions.

You agree not to:

• use the Platform for any unlawful, fraudulent, or harmful purpose;
• provide false information or impersonate any person or business;
• attempt to gain unauthorised access to the Platform, other accounts, or our systems, or interfere with their normal operation;
• scrape, copy, or harvest data from the Platform, or reverse-engineer it, except as allowed by law;
• upload anything unlawful, infringing, or malicious, or that you do not have the right to share.

You keep ownership of the information and documents you upload. You grant us the permission we need to host, process, and share that content in order to operate the Platform and complete your transactions. You are responsible for having the right to upload your content and for making sure it is accurate and lawful.

Pricing, quotes, and market information made available to you through the Platform are confidential; do not disclose or misuse them, and do not use the Platform to collect information about other users. The Platform, its software, content, and branding are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Platform for its intended business purpose; no other rights are granted.

Market prices, trade data, and insights on the Platform are provided for general information only, on an “as is” basis. They may be incomplete, delayed, or inaccurate, and they are not trading, financial, investment, or professional advice. You are responsible for verifying information before relying on it for any decision.

We aim to keep the Platform available but do not guarantee that it will be uninterrupted or error-free, and we may change, suspend, or discontinue features. We may suspend or close an account that breaches these Terms, creates risk, or where we are required to do so. You may stop using the Platform at any time.

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential losses, or for any loss of profit, revenue, business, goodwill, or data, arising from your use of the Platform or from any transaction between you and a counterparty. Our total liability to you for any claim relating to the Platform is limited to the fees (if any) you paid us to use the Platform in the 12 months before the event giving rise to the claim.

You agree to indemnify and hold us harmless from any claims, losses, or costs (including reasonable legal fees) arising from your use of the Platform, your content, your transactions, or your breach of these Terms.

We may update these Terms from time to time. When we make important changes, we will update the date above and, where appropriate, notify you. By continuing to use the Platform after changes take effect, you accept the updated Terms.

If any part of these Terms is found to be unenforceable, the rest will remain in effect. These Terms are the entire agreement between you and us about your use of the Platform. If we do not enforce a right, that is not a waiver of it. You may not transfer your rights under these Terms without our consent, though we may transfer ours as part of a business transfer.

These Terms are governed by the laws of Pakistan, and the courts of Karachi have jurisdiction over any dispute relating to them or to the Platform, without affecting any mandatory rights you may have under the laws of your own country.
